Terms of Service

These Terms and Conditions govern your access to and use of the EZ Show Manager platform, website, and related services operated by EZ Show Manager LLC.

Overview

Welcome to EZ Show Manager. These Terms and Conditions ("Terms") govern your access to and use of the EZ Show Manager platform, website, and related services operated by EZ Show Manager LLC ("EZSM," "we," "our," or "us").

By accessing or using EZ Show Manager, including creating an account, purchasing a membership, submitting an entry, uploading documents, or accepting a waiver, you agree to these Terms. If you do not agree, do not use the platform.

1. Who We Are

EZ Show Manager is a software platform that provides tools for horse show organizers, show secretaries, entrants, and competitors.

Features include public show pages, online entry forms, results pages, waiver and document collection, reporting, and payment workflows.

EZSM is a software provider only. We do not organize, manage, supervise, or control any event.

2. Eligibility

You must be legally capable of entering into a binding agreement.

If using EZSM on behalf of an organization, you confirm you have authority to bind that entity.

EZSM does not verify user age. Some events may require guardian information for minors.

3. User Roles

User roles may include Show Managers, Show Secretaries, Entrants or Competitors, and Administrative Users.

Access and features depend on assigned role and permissions.

4. Acceptable Use

You agree to use EZSM only for lawful purposes.

You may not submit false or misleading information, interfere with platform operations, access accounts or data without authorization, upload malicious or harmful content, harass others, or impersonate others.

You are required to comply with all applicable European Union, federal, state, and local privacy laws when collecting, accessing, using, exporting, or sharing information obtained through EZSM.

You must be prudent in the collection and use of personally identifiable information, including names, signatures, home addresses, email addresses, phone numbers, health records, and other entrant or participant information. If you operate in California or collect information from California residents, you are responsible for reviewing and complying with the California Consumer Privacy Act and any other applicable privacy requirements.

You are required to comply with the federal CAN-SPAM Act and all other applicable email marketing laws when using email addresses obtained through EZSM. You are wholly responsible for any violations, spam complaints, or misuse caused by your emails or by anyone sending email on your behalf.

Commercial emails must comply with applicable legal requirements, including accurate sender information, non-deceptive subject lines, required physical mailing address disclosures, working unsubscribe mechanisms, and timely honoring of opt-out requests. Each separate email in violation of the CAN-SPAM Act may be subject to significant penalties.

You may not sell, rent, transfer, or share email addresses or other personal information collected through EZSM with third parties, including vendors, sponsors, advertisers, or outside marketing partners, unless you have the individual's explicit written consent and the transfer complies with applicable law.

We may suspend or terminate accounts that violate these Terms.

5. Account Responsibility

You are responsible for maintaining accurate account information, keeping login credentials secure, and all activity under your account.

Report suspected account compromise to support@ezshowmanager.com.

6. Show Manager Responsibilities

Show Managers are solely responsible for event details, including dates, classes, fees, deadlines, pricing accuracy, tax inclusion where applicable, refund policies and decisions, results and public content, required waivers and documents, communication with entrants, and compliance with applicable laws, including tax and consumer protection laws.

EZSM does not verify organizer-provided information.

7. Secretary Responsibilities

Secretaries act on behalf of the Show Manager and may approve entries, manage records, enter scores, and post results.

EZSM is not responsible for errors or actions taken by secretaries.

8. Entrant Responsibilities

Entrants must provide accurate and complete information, including competitor and horse details, selected classes or tests, payment information, health records, and waivers.

Entry acceptance is subject to organizer review and event rules.

9. Waivers and Health Records

EZSM allows collection of documents such as Coggins, rabies records, EHV documentation, and liability waivers.

Show Managers determine requirements. EZSM does not guarantee the legal sufficiency or enforceability of any document.

10. Electronic Acknowledgment

Users acknowledge that actions such as checkboxes and signatures are recorded, records may include timestamps and technical data, and information may be shared with the Show Manager.

You affirm submitted information is truthful.

11. Payments and Payouts

EZSM utilizes third-party payment processors, including Stripe, to facilitate transactions.

By using EZSM, you agree to comply with all applicable Stripe terms, you are responsible for completing required account verification, and you understand EZSM does not control or guarantee payment processing timelines.

For Event Holders, entry fees are processed through the platform in connection with your event. Payouts are issued after the event is completed and archived.

Payouts may be reduced by payment processing fees, refunds, chargebacks or disputes, and outstanding balances owed to EZSM.

EZSM does not act as a bank or escrow service and does not guarantee availability of funds.

12. EZSM Fees

EZSM may charge membership fees, platform or service fees, and invoice balances.

Unless stated otherwise, fees are non-refundable and payment processing fees may not be refundable.

13. Refunds and Cancellations

Refund policies are determined solely by the Event Holder.

By submitting an entry, you acknowledge refund eligibility is based on the event's policy and EZSM does not guarantee refunds under any circumstance.

If a refund is approved, it will be processed through the original payment method when possible. Platform and processing fees may be non-refundable.

Event Holders are responsible for clearly communicating refund policies, honoring approved refunds, and understanding refunds may impact final payout balances.

14. Taxes

EZSM collects and remits applicable sales tax only on EZSM-controlled fees, including membership fees and platform or service fees.

EZSM does not calculate, collect, or remit taxes on event-related charges, including entry fees, class fees, clinic fees, stabling, and add-ons such as meals, stalls, or memberships.

Event Holders are responsible for determining applicable taxes, calculating, collecting, reporting, and remitting taxes, and ensuring pricing includes required taxes.

EZSM acts solely as a payment processing facilitator.

15. Memberships

Memberships may be required for certain features.

Changes to membership do not affect past purchases, existing event records, or organizer responsibilities.

16. Public Pages and Results

Show Managers control public content, including event details, results, and announcements.

EZSM does not guarantee accuracy of published content.

17. Event Workflow Tools

EZSM provides tools such as waitlists, refund tracking, results posting, and document tracking.

These are administrative tools only. Proper use is the organizer's responsibility.

18. Data and Records

EZSM may store account data, entry information, uploaded files, waiver records, transaction data, and activity logs.

Show Managers may access records related to their events.

20. Third-Party Services

EZSM is not responsible for issues caused by third-party providers, including payment failures, payout delays, plugin conflicts, or tax calculation changes.

21. Platform Availability

We may modify features, suspend services, or discontinue parts of the platform.

We do not guarantee uninterrupted access.

22. Software Disclaimer

EZSM is a software tool only.

EZSM is not an event organizer, sanctioning body, insurer, legal advisor, or financial advisor.

EZSM does not verify event legality or safety, participant eligibility, or accuracy of scores or results.

EZSM does not hold or control funds as a financial institution.

23. Limitation of Liability

To the maximum extent permitted by law, EZSM is not liable for indirect or consequential damages, loss of profits, loss of data, or loss of revenue.

Total liability is limited to the amount paid to EZSM in the past 12 months.

24. User Disputes

EZSM is not a party to transactions between users.

Disputes regarding entries, refunds, event conditions, results, or conduct must be resolved directly between the involved parties.

EZSM may assist at its sole discretion but is not obligated to do so.

25. Indemnification

You agree to defend and hold EZSM harmless from claims related to your use of the platform, your event or content, and violations of these Terms or applicable laws.

26. Termination

We may suspend or terminate access at any time.

Termination does not remove existing obligations.

27. Changes to Terms

We may update these Terms at any time.

Continued use of the platform constitutes acceptance of the updated Terms.

28. Governing Law

These Terms are governed by the laws of the State of New York.

All disputes shall be handled in courts located in Livingston County, New York.
